Terms of Service

OTWONO Enterprises LLC

Applies to www.otwono.com, otwonostudios.com and other OTWONO websites that link to these Terms.

Last updated: October 1, 2026

Effective date: October 1, 2026

1. Who we are and what these Terms cover

1.1. These Terms of Service (“Terms”) are an agreement between you and OTWONO Enterprises LLC, a Florida limited liability company (“OTWONO”, “we”, “us” or “our”).

1.2. They apply to www.otwono.com (the OTWONO hub and store), otwonostudios.com (OTWONO Studios, home of the Bad Orbit animated series, music, novel and audiobook) and any other OTWONO website that links to these Terms, together with the accounts, players, downloads and other features on those sites (together, the “Services”).

1.3. Some parts of the Services have extra terms that also apply when you use them:

If extra terms conflict with these Terms, the extra terms control for that feature.

1.4. By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

2. Who can use the Services

2.1. You must be at least 13 years old to use the Services, or 16 where local law requires a higher age (such as in parts of the European Union). Children below that age may not create an account or use account features.

2.2. If you are under 18 (or under the age of majority where you live), you may use the Services only with the permission and involvement of a parent or legal guardian, and only a parent or guardian may make purchases, join a membership or send support payments for you.

2.3. You may not use the Services if you are barred from doing so under the laws that apply to you.

3. OTWONO accounts

3.1. OTWONO accounts are free. One OTWONO account works across the OTWONO sites, and otwonostudios.com connects to it, so you sign in with the same identity.

3.2. You agree to:

  • give accurate information, including a working email address;
  • keep your login secure and not share your password;
  • tell us promptly at billing@otwonostudios.com if you think someone else has used your account.

3.3. You are responsible for activity on your account unless it results from our own failure to protect it.

3.4. You can close your account at any time by contacting us at billing@otwonostudios.com. Closing your account does not cancel a paid membership on its own. Cancel the membership first (see the Studios Membership Terms).

4. Acceptable use

4.1. Only share content you have permission to use.

4.2. You may not use the Services to post, upload, send or link to anything that is:

  • unlawful, or that encourages unlawful activity;
  • abusive, harassing, threatening, hateful or sexually exploitative, including any content that sexualizes minors;
  • deceptive, including impersonating another person or organization, or misleading people about who you are;
  • infringing, including content that violates someone else’s copyright, trademark, privacy or publicity rights;
  • malicious, including viruses, malware or phishing.

4.3. You also may not:

  • try to get into accounts, systems or data you are not allowed to access;
  • interfere with the Services, overload them, or get around security, download limits, access controls or membership restrictions;
  • scrape, copy or download content from the Services by automated means, except as allowed by a published robots.txt file for ordinary search indexing;
  • use content from the Services to train, fine tune or test artificial intelligence or machine learning models, or as input to generate imitations of it;
  • resell, rent or commercially exploit any part of the Services without our written permission;
  • put passwords, API keys or other secrets in public profile content.

4.4. OTWONO may remove or restrict content, limit features, or suspend or close accounts that break these Terms or that we reasonably believe put other users, the Services or OTWONO at risk. Where it is reasonable and safe to do so, we will tell you why.

5. Our content and intellectual property

5.1. The Services and their content, including the Bad Orbit series, its characters, story, scripts, novel and audiobook, music and lyrics, artwork, videos, logos, site design, text and software (together, “OTWONO Content”), belong to OTWONO or its licensors and are protected by copyright, trademark and other laws, to the full extent those rights exist.

5.2. “OTWONO”, “OTWONO Studios”, “Bad Orbit” and related names and logos are brands of OTWONO. You may not use them in a way that suggests we endorse or are connected to you or your product.

5.3. We give you a limited, personal, non exclusive, non transferable and revocable permission to view, stream and use OTWONO Content through the Services for your own personal, non commercial enjoyment. Streaming or viewing something for free on our sites does not give you a license to download, copy, share or reuse it.

5.4. Purchased downloads are covered by the Terms of Sale and Digital Music License.

5.5. Anything not expressly permitted in these Terms is reserved by OTWONO.

6. Your content

6.1. “Your Content” means anything you upload, post or save through the Services, such as profile details, photos, posts, cards and messages.

6.2. You keep ownership of Your Content.

6.3. You give OTWONO a non exclusive, worldwide, royalty free license to host, store, copy, process, format, display and transmit Your Content only as needed to operate, secure and provide the Services to you and to the people you choose to share it with. For content you make public, this includes showing it to visitors who can see it under your settings.

6.4. This license ends when you delete Your Content or your account, except for copies that remain for a limited time in backups, copies others have already saved from public pages, and copies we must keep for legal reasons.

6.5. We do not use your content to train AI models.

6.6. You promise that you have the rights needed to share Your Content and to grant this license, and that Your Content follows these Terms.

6.7. Public profile material can be seen, and possibly copied, by anyone with the link. Do not make anything public that you want to keep private.

7. AI generated content notice

7.1. Our content. Some OTWONO Content, including music, lyrics and artwork, was created with the help of AI tools under the creative direction of OTWONO. For example, music was generated with Suno, and AI tools assisted with lyrics and images. Concept images are labeled as concept material and do not show that a product has been built.

7.2. AI features you connect. Some features on www.otwono.com let you connect your own account with an outside AI provider by supplying your own API credentials. When you use these features:

  • the text or material you choose to send goes to that provider and is handled under its terms and privacy practices;
  • you are responsible for your use of that provider, any charges it makes to you, and following its terms;
  • AI output can be wrong, incomplete or similar to other people’s work. Check it before you rely on it or publish it, and you are responsible for what you choose to publish.

8. Third party services and links

8.1. The Services use or link to services run by others, such as PayPal for payments and video or music players from providers like YouTube, Spotify or Suno. Those services are run under their own terms and privacy policies, and we are not responsible for them.

8.2. Links to other websites are for convenience only and do not mean we endorse them.

9. Purchases, membership and support payments

Purchases, memberships and support payments are covered by the separate documents listed in section 1.3. Payments are processed by PayPal. We never receive or store your full card details.

10. Changes to the Services

10.1. The Services are growing and changing. We may add, change, pause or remove features or content, including free content, at any time.

10.2. If a change removes something you paid for, the Terms of Sale and Digital Music License, Refund Policy and Studios Membership Terms explain what happens.

11. Disclaimers

11.1. The Services and OTWONO Content are provided “as is” and “as available.” To the fullest extent the law allows, OTWONO disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non infringement.

11.2. We do not promise that the Services will always be available, uninterrupted, error free or secure, that offline playback will work on every device, or that release dates (including early access dates) will be met.

11.3. Some places do not allow these disclaimers, so some may not apply to you. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.

12. Limitation of liability

12.1. To the fullest extent the law allows, OTWONO and its owners, managers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Services or these Terms, even if we were told such damages were possible.

12.2. To the fullest extent the law allows, OTWONO’s total liability for all claims related to the Services or these Terms is limited to the greater of (a) the amount you paid OTWONO in the 12 months before the event giving rise to the claim, or (b) 50 US dollars ($50).

12.3. These limits do not apply to liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence where that rule applies.

13. Indemnity

To the extent the law allows, you agree to defend, indemnify and hold harmless OTWONO and its owners, managers, employees and agents from claims, losses and expenses (including reasonable attorneys’ fees) that arise from Your Content, your misuse of the Services, or your violation of these Terms or of someone else’s rights.

14. Governing law

These Terms are governed by the laws of the State of Florida, USA, and applicable US federal law, without regard to conflict of laws rules.

15. Dispute resolution

15.1. Talk to us first. Before filing any claim, please email billing@otwonostudios.com with a description of the problem and what you want. We will try in good faith to resolve it within 60 days.

15.2. Courts. If we cannot resolve it informally, any claim will be brought only in the state or federal courts located in Florida, and you and OTWONO consent to those courts’ jurisdiction, except where the law where you live gives you the right to sue in your local courts.

15.3. Small claims. Either of us may bring an individual claim in small claims court instead, if the claim qualifies.

15.4. Any claim must be brought within one year after it arises, unless a longer period is required by law.

16. Changes to these Terms

16.1. We may update these Terms from time to time. We will change the “Last updated” date. For material changes, we will give at least 30 days’ notice before the changes take effect by posting the updated Terms on the sites and, for members, by email.

16.2. Changes will not apply to disputes that arose before the change. If you keep using the Services after changes take effect, you accept the updated Terms. If you do not agree, stop using the Services and close your account.

17. General

17.1. These Terms, together with the documents listed in section 1.3, are the entire agreement between you and OTWONO about the Services.

17.2. If any part of these Terms is found unenforceable, the rest stays in effect.

17.3. If we do not enforce a part of these Terms right away, that does not mean we give up the right to enforce it later.

17.4. You may not transfer your rights under these Terms. We may transfer ours to a successor, for example in a merger or sale of the business.

17.5. Neither of us is responsible for delays or failures caused by events beyond reasonable control.
